Function

The Board of Directors provides strategic oversight and governance for NTPC and NT Hydro. The Board will guide long-term planning, financial accountability, and operational stability. It ensures that decisions align with the public interest. The Board does not set power rates (rates are regulated by the NWT Public Utilities Board).

Board Composition

The Board of Directors of the Corporation is composed of not fewer than six directors and not more than ten directors.

Alternate Members

There are no alternate directors.

The legislation does not provide for the appointment of alternates to the Board.

Chairperson

The Chairperson of the Board shall be designated by the Minister from among the directors.

Vice-Chairperson

The Vice-Chairperson of the Board shall be designated by the Minister from among the directors.

Quorum

A majority of the directors constitute a quorum.

Appointment Instrument

Members are appointed by the Minister Responsible for the Northwest Territories Power Corporation under section 9 of the Northwest Territories Power Corporation Act (NWT) from a public Expression of Interest.

Term Duration

A director holds office for a term not exceeding three years as specified in the appointment.

Time and Travel Requirements

The Board meets in person a minimum of four times per year.

Remuneration

The Minister sets the honorarium and expenses. A member shall be paid an honorarium if he or she is not a member of the Public Service as defined by the Public Service Act, and shall be reimbursed for expenses.
