Function

The Governance Council oversees the conduct of business and management of the Workers Safety and Compensation Commission.

Board Composition

The Governance Council is composed of seven directors.

The Minister shall appoint the directors of the Governance Council as follows:

  1. one director to serve as the Chairperson;
  2. two directors whom the Minister considers as representing the interests of the general public;
  3. two directors whom the Minister considers as representing the interests of workers;
  4. two directors whom the Minister considers as representing the interests of employers 

Two directors are appointed based on recommendations from the Nunavut Minister responsible for the WSCC.

Alternate Members

There are no alternate members.

The legislation does not provide for the appointment of alternates.

Chairperson

The Minister shall appoint one director to serve as the Chairperson, following consultation with the Government of Nunavut Minister.

Vice-Chairperson

The Governance Council designates the Vice-Chairperson from among its members.

Quorum

Quorum is a majority of the members appointed.

Appointment Instrument

Members are appointed by the Minister Responsible for the Workers’ Safety and Compensation Commission under section 84(2) of the Workers' Compensation Act.

Term Duration

A member holds office for a term, not exceeding three years, specified in the appointment.

Term Limitations

Yes.

The Minister may reappoint a person as a director of the Governance Council if the period of continuous services does not exceed nine consecutive years.

If a director serves for nine years, he or she may be appointed again if at least one year has passed from the expiry of the previous appointment.

Time and Travel Requirements

Meetings must be held in the place where the office of the Commission is located or at any other place that the Governance Council may direct.

Remuneration

A director of the Governance Council, other than the Chairperson, shall receive remuneration under subsection 86(2) of the Act at the following rates:

  1. while travelling to or attending a meeting or function of the Governance Council, while on training authorized

  2. for each half day up to 3.5 hours, $175;

  3. for each full day up to 7.5 hours, $350; and

  4. for each full day over 7.5 hours, $525

Quarterly Retainer for meeting preparation:

  1. $800 per quarter

The Chairperson shall receive $60,000 for each 12 month period that he or she serves as Chairperson.

Other Considerations

In selecting directors for appointment, the Minister shall ensure that the Governance Council collectively hold the following qualifications:

a)    Knowledge of corporate governance;

b)    Experience in financial and strategic management;

c)    Knowledge of administrative law;

d)    Understanding of the role of policy;

e)    Understanding of issues facing employers and workers in the Northwest Territories;

f)     Knowledge of occupational medicine;

g)    Knowledge of workers’ compensation;

h)   Demonstrated appreciation for collegiality and cooperative interpersonal relations;

i)     High ethical standards;

j)     A balance of gender and geographical representation
